1. Introduction

These Terms of Service (“Terms”) govern access to and use of the software
platform, application programming interfaces (APIs), software development
kits (SDKs), dashboards, documentation, and related technical infrastructure
(collectively, the “Services”) provided by AIGEN sp. z o.o., operating under
the brand ItisPay (“ItisPay”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to be bound by these Terms and
our Privacy Policy. If you do not agree, you must not use the Services.

2. Scope and Nature of the Services

ItisPay provides technology and software infrastructure for business
customers, enabling invoicing, payment orchestration, and technical
connectivity with third-party financial service providers.

ItisPay is not a bank, payment institution, electronic money institution,
virtual asset service provider, or financial intermediary, and does not act
as such.

ItisPay does not provide any regulated financial services, including, but
not limited to:

  • custody, safeguarding, or control of funds or digital assets;
  • issuance of payment accounts, IBANs, vIBANs, or electronic money;
  • execution, processing, clearing, or settlement of payment transactions;
  • fiat or crypto on-ramp or off-ramp services;
  • exchange or conversion of fiat or digital assets.

The Services are strictly limited to technical facilitation and software
functionality and do not involve the handling, execution, settlement, or
flow of funds.

At no time does ItisPay take possession, control, or custody of user funds,
payment accounts, or digital assets.

3. Third-Party Financial Service Providers

Certain functionalities accessible through the Services may require
integration with independent third-party regulated financial institutions,
including licensed payment institutions, electronic money institutions, or
virtual asset service providers (“Third-Party Providers”).

All regulated financial services are provided solely by the relevant
Third-Party Providers under their own licenses, regulatory obligations,
terms, and policies.

Access to such services is subject to:

  • separate contractual arrangements between you and the applicable
    Third-Party Provider;
  • successful completion of all required KYC, KYB, AML, and compliance checks;
  • acceptance of the Third-Party Provider’s own terms, disclosures, and
    policies.

Customers who want to use Crypto Exchange Services are additionally required to read and accept the Paybis Terms and Conditions (https://paybis.com/policies/terms-of-service/) to be able to use the Services

ItisPay has no influence over onboarding decisions, risk assessments,
compliance determinations, or account approvals made by Third-Party
Providers and does not guarantee access to regulated financial services.

4. Availability and No-Offer Disclaimer

Certain features described on the website, documentation, or marketing
materials may be subject to technical readiness, commercial agreements, and
regulatory approvals and may not be available at all times, in all
jurisdictions, or to all users.

Nothing in the Services, documentation, or marketing materials constitutes an
offer, solicitation, or commitment to provide regulated financial services.

5. Account Registration and Security

To access certain features of the Services, you may be required to register
an account and provide accurate, complete, and up-to-date information.

You are responsible for maintaining the confidentiality of your credentials
and for all activities conducted through your account.

You must promptly notify us of any unauthorised access or security breach.

6. User Obligations

You represent and warrant that:

  • you use the Services solely for lawful business purposes;
  • you will not represent or market ItisPay as a regulated financial
    institution or service provider;
  • your use of the Services complies with all applicable laws and regulations
    in your jurisdiction.

You are solely responsible for determining whether your use of the Services
is permitted under applicable law.

7. Fees

Fees for access to or use of the Services, where applicable, are communicated
separately through commercial agreements, order forms, or pricing pages.

ItisPay does not collect, hold, or deduct fees from payment accounts,
wallets, or funds held by Third-Party Providers.

8. Intellectual Property

All intellectual property rights in and to the Services, including APIs,
SDKs, software, documentation, designs, trademarks, and logos, are owned by
AIGEN sp. z o.o. or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable licence
to use the Services strictly in accordance with these Terms and the
applicable documentation.

9. Privacy and Data Protection

Personal data is processed in accordance with our Privacy Policy.

Where regulated financial services are involved, personal data may be
processed directly by Third-Party Providers acting as independent data
controllers under applicable data protection laws.

10. Service Availability

The Services are provided on an “as available” basis. We do not guarantee
uninterrupted or error-free operation.

ItisPay shall not be liable for losses arising from:

  • service interruptions or outages;
  • maintenance or technical failures;
  • actions or omissions of Third-Party Providers;
  • regulatory or supervisory decisions affecting Third-Party Providers.

11. Suspension and Termination

We may suspend or terminate access to the Services, with or without notice,
where required by law, regulatory obligations, or in case of breach of these
Terms.

Termination does not relieve you of any outstanding contractual or payment
obligations.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available”, without
warranties of any kind, whether express or implied, including warranties of
merchantability, fitness for a particular purpose, or non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, AIGEN sp. z o.o. shall not be liable for any
indirect, incidental, consequential, special, or punitive damages.

The total aggregate liability of AIGEN sp. z o.o. for any claims arising out of or
in connection with these Terms shall not exceed the fees paid by you to
ItisPay during the three (3) months preceding the event giving rise to the
claim.

14. Indemnification

You agree to indemnify and hold harmless AIGEN sp. z o.o., its affiliates, officers,
employees, and contractors from any claims, damages, liabilities, and
expenses (including reasonable legal fees) arising from:

  • your use of the Services;
  • your breach of these Terms;
  • your violation of applicable laws or regulations.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Poland,
without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms shall be
subject to the exclusive jurisdiction of the competent courts of Warsaw,
Poland, unless mandatory provisions of applicable law provide otherwise.

16. Changes to the Terms

We may update these Terms from time to time. Updated versions will be
published with a revised “Last updated” date.

Continued use of the Services after changes take effect constitutes
acceptance of the updated Terms.
