Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the services, products, and platforms provided by Aigen LLC (“ItisPay”, “we”, “us”, or “our”), including our API, SDK, and related platform services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

1. Eligibility

You may use the Services only if:

  • you are at least 18 years old;
  • you have the legal capacity to enter into a binding contract; and
  • you are not prohibited from using the Services under applicable law, including sanctions, anti-money laundering ("AML"), and counter-terrorism financing ("CTF") regulations.

If you are using the Services on behalf of a legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Services

ItisPay provides an API, SDK, and platform for cryptocurrency invoicing, instant EUR/USD off-ramp, and white-label integration for payment processing.

We may update, modify, or discontinue the Services (or any part) at any time without prior notice, provided that such changes do not materially diminish the core functionality without reasonable notice to you.

3. Account Registration

To access certain features of the Services, you must register for an account and provide complete and accurate information. You agree to:

  • Maintain the accuracy of such information;
  • Keep your account credentials confidential;
  • Accept responsibility for all activities under your account;
  • Notify us immediately of any unauthorized use.

We may reject, suspend, or terminate accounts that do not meet our requirements.

4. Compliance and Verification

You agree to provide all required documentation and information to satisfy our AML, Know Your Customer ("KYC"), and Know Your Business ("KYB") obligations. This may include, but is not limited to:

  • Personal identification;
  • Proof of address;
  • Business incorporation documents;
  • Beneficial ownership details.

We reserve the right to screen your information against sanctions lists and other watchlists and to share information with relevant authorities where legally required.

5. Prohibited Activities

You may not use the Services to:

  • violate any applicable law or regulation;
  • engage in money laundering, terrorist financing, or fraud;
  • transact with sanctioned persons or jurisdictions;
  • facilitate illegal goods or services;
  • interfere with or disrupt the Services or related systems.

We may suspend or terminate your account without notice if we reasonably believe you have engaged in prohibited activity.

6. Fees and Payments

You agree to pay all applicable fees for your use of the Services as listed on itispay.com or in your agreement with us. This may include:

  • Service fees;
  • Blockchain network ("gas") fees;
  • Currency conversion charges.

All fees are non-refundable unless otherwise required by law. We may update our fees at any time with prior notice.

7. Intellectual Property

All rights, title, and interest in and to the Services, including the API, SDK, software, designs, text, graphics, and other content, are owned by Aigen LLC or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and our documentation.

You may not reverse engineer, modify, copy, or distribute the Services without our prior written consent.

8. Data Protection

We process personal data in accordance with our Privacy Policy, available at https://itispay.com/privacy.

You agree to comply with all applicable data protection laws, including the General Data Protection Regulation ("GDPR") where applicable, in connection with your use of the Services.

9. Security

You are responsible for implementing appropriate security measures to protect your systems and data when using the Services.

You must not:

  • attempt to bypass or circumvent any security measures;
  • introduce malware, viruses, or other harmful code;
  • interfere with the operation of the Services or related systems.

If you discover a vulnerability in the Services, you must notify us immediately at [email protected].

10. Service Availability

While we strive for high availability, we do not guarantee uninterrupted access to the Services. The Services may be unavailable due to:

  • scheduled maintenance;
  • unscheduled outages;
  • force majeure events beyond our control.

We are not liable for any losses resulting from unavailability of the Services.

11. Termination

We may suspend or terminate your account and access to the Services immediately, without notice, if:

  • you breach these Terms;
  • you fail to meet compliance requirements;
  • you engage in prohibited activities;
  • required by law or regulatory order.

Upon termination:

  • Your rights under these Terms will end;
  • Outstanding payment obligations will survive;
  • We may retain records as required by law.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be error-free, uninterrupted, secure, or free of harmful components.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Aigen LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages;
  • Our total liability to you for any claim arising out of or related to these Terms will not exceed the total fees you paid to us in the three (3) months preceding the claim.

Nothing in these Terms shall exclude liability where such exclusion is not permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Aigen LLC, its affiliates, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from or related to:

  • your use of the Services;
  • your violation of these Terms;
  • your violation of any applicable law or regulation.

15. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the Republic of Poland, without regard to conflict of law principles.

You agree that any disputes will be subject to the exclusive jurisdiction of the courts located in Warsaw, Poland.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on https://itispay.com and updating the “Last Updated” date at the top.

Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
